Terms & Conditions
Please read these Terms & Conditions carefully before using the MediaShippers platform. By registering, accessing, or using any part of this platform, you agree to be bound by these Terms.
Who These Terms Apply To
These Terms apply to:
- Content Buyers: OTT platforms, broadcasters, FAST channels, streaming services, acquisition managers, and other professional buyers who access MediaShippers free of charge to discover, evaluate, and license content.
- Content Sellers: filmmakers, production houses, studios, distributors, aggregators, and rights holders who subscribe to MediaShippers to list, manage, and monetise content catalogues globally.
- Enterprise Clients: organisations using white-label, custom, API, MAM/DAM, GCC/EOR, or enterprise deployments.
Where rights, obligations, or commercial arrangements differ for Buyers and Sellers, these Terms explain the difference.
Platform Description
MediaShippers is a global B2B platform connecting content buyers and sellers for content discovery, rights licensing, buyer-seller matching, deal facilitation, contract registration, content operations, and AI-assisted content intelligence.
Zero-Commission Model:
- Sellers pay subscription fees to list and monetise catalogues.
- Buyers access discovery, intelligence, and deal-making tools free of charge.
- MediaShippers does not charge commission or success fees on completed deals unless separately agreed in writing.
The Platform includes:
- Catalogue uploads and content storefront features;
- Platform DNA Gap Analysis, Buyer Reports, Title Match, and Deal Definition workflows;
- AI-powered Platform DNA Gene tools, DNA Health Scores, pricing insights, and popularity indicators;
- Pitch-fit templates, VVIP Deal Rooms, and content operations;
- Media Sathi companion services; and
- AI-assisted reports for informational and decision-support purposes only.

1. Definitions
"Buyers" access MediaShippers as a zero-cost content intelligence and deal-making environment. Buyers may use Platform DNA Gap Analysis, Buyer Reports, Title Match, and Deal Definition tools without subscription fees or commissions on completed deals. Buyer intelligence is controlled by the Buyer and is not treated as a database populated for Sellers.
"Sellers" use MediaShippers as global content marketplace infrastructure. Sellers subscribe to list catalogues, manage deal pipelines, engage in deal rooms, access AI-generated intelligence outputs, and distribute content to qualified buyers.
"Platform" means the MediaShippers website, application, dashboards, deal rooms, tools, features, and services available at mediashippers.com.
"Company", "we", "us", "our" means Entertainment Technologists Development Corp., operator of MediaShippers.
"User" means any person or entity using the Platform, including Buyers, Sellers, and Enterprise clients.
"Seller" means a content owner, producer, studio, aggregator, distributor, or rights holder who subscribes to list content for licensing or distribution.
"Buyer" means an OTT platform, broadcaster, FAST channel, distributor, or content acquirer who accesses the Platform free of charge to discover, evaluate, and license content.
"Content" means audiovisual works, films, series, documentaries, music videos, and other media listed by Sellers.
"Platform DNA Gene" means the AI-powered content intelligence feature that analyses catalogue identity and generates DNA Health Scores, popularity indices, pitch-fit templates, pricing indicators, and related insights.
"Platform DNA Gap Analysis" means buyer-facing intelligence identifying underrepresented content categories, genres, or territories based on verifiable demand signals.
"Buyer Report" means a personalised intelligence report prepared for a Buyer platform using Platform DNA Gap Analysis and demand signals.
"Title Match" means the mechanism through which buyer gap intelligence is matched with registered seller catalogues.
"Deal Definition" means the structured acquisition brief module through which Buyers define content requirements for possible Title Match activation.
"VVIP Deal Room" means the premium deal environment for high-value transactions between Buyers and Sellers.
"Subscription Plan" means a paid plan selected by a Seller to access catalogue hosting, deal pipeline, and other Platform features.
"Enterprise License" means a white-label or custom deployment of the Platform for large organisations.
"Media Sathi" means the companion service supporting independent filmmakers from funding to distribution-ready content.
2. Acceptance and Eligibility
By using MediaShippers, you confirm that you have read, understood, and accepted these Terms, along with all policies, guidelines, and supplemental terms referenced in them.
MediaShippers is strictly a B2B platform. Consumer, personal, or B2C use is prohibited.
By using the Platform, you represent that:
- you are at least 18 years old;
- you have legal capacity and authority to enter binding agreements;
- you are using the Platform on behalf of a legally recognised business entity;
- you have authority to bind that entity to these Terms;
- you are a legitimate industry participant, such as a producer, studio, broadcaster, OTT platform, FAST channel, distributor, aggregator, rights holder, Buyer, Seller, service provider, or authorised representative;
- all information provided during registration, onboarding, or use is accurate, complete, current, and not misleading;
- you will promptly update inaccurate or outdated information;
- you are responsible for account security and confidentiality; and
- you will immediately notify MediaShippers of unauthorised access or suspected security breach.
MediaShippers may suspend, restrict, or terminate access if a User does not meet eligibility requirements or provides false, misleading, incomplete, or unauthorised information.
FOR BUYERS
Buyers represent that they are authorised representatives of a legitimate streaming platform, broadcaster, OTT service, FAST channel, distributor, or content acquisition organisation. Buyers accessing the Platform free of charge remain fully bound by these Terms.
FOR SELLERS
Sellers represent that they are authorised representatives of a content-owning or content-controlling entity and have legal authority to list, license, and distribute the catalogue content registered on the Platform.
3. Account Registration and Security
Users may need a registered account to access certain features. By creating or using an account, you agree to:
- provide accurate, complete, current, and authorised information;
- update account information when required;
- keep login credentials and authentication details confidential;
- restrict account access to authorised personnel within your organisation;
- accept responsibility for all activity, transactions, uploads, and communications through your account; and
- notify MediaShippers immediately at sales@mediashippers.com of unauthorised access, account compromise, or security breach.
FOR BUYERS
Buyer accounts are limited to buyer-facing features. Buyers may not access seller dashboards, subscription billing systems, or seller-restricted deal pipeline features. Buyers may not share, republish, or commercially distribute Platform DNA reports, Buyer Reports, or related intelligence outside their organisation without prior written consent.
FOR SELLERS
Seller accounts may include catalogue management, deal pipeline tracking, subscription management, VVIP Deal Room access, and content operations coordination. Sellers may not create multiple accounts to bypass subscription limits, title limits, user-seat limits, or feature restrictions.
4. Platform Services
4.1 Services Available to Sellers
Subject to the applicable Subscription Plan and permissions, Sellers may access content storefronts, catalogue listings, Platform DNA Gene analytics, DNA Health Scores, popularity indices, pitch-fit templates, offer evaluation reports, Title Match, secure deal rooms, VVIP Deal Rooms, contract registration, transaction tracking, content operations, and Media Sathi services.
Sellers must not use the Platform for unlawful, fraudulent, misleading, infringing, anti-competitive, or unauthorised purposes. Sellers must keep all non-public negotiations, pricing, commercial discussions, and deal-related materials confidential.
Sellers represent that they have all rights, permissions, licences, and authority required to upload, market, license, or distribute Content through the Platform. Sellers are solely responsible for the legality, validity, and accuracy of their Content and information. MediaShippers does not verify seller-provided metadata, rights information, or pricing and is not liable for seller errors or omissions.
4.2 Services Available to Buyers
Buyer access is provided free of charge, subject to permissions and Platform availability. Buyers may access Platform DNA Gap Analysis reports, Buyer Reports, content discovery tools, metadata review, trailer access, Title Match, Deal Definition, secure deal rooms, VVIP Deal Rooms, and AI-assisted content matching.
Buyers must keep non-public negotiations, pricing discussions, deal structures, and transaction information confidential. Platform DNA Gap Analysis and Buyer Reports are generated from publicly verifiable demand data and aggregated platform signals. Buyer reports are intelligence tools, not acquisition recommendations.
Buyers may not use free access to harvest seller catalogue data, contact information, or pricing intelligence for commercial purposes outside genuine content licensing transactions.
4.3 Enterprise Services
Enterprise clients may access white-label or custom deployments with full branding, isolated infrastructure, MAM/DAM integration, GCC/EOR services, and dedicated support. Enterprise services are governed by a separate Enterprise License Agreement.
4.4 Prohibited Use
All Users must not:
- upload unlawful, infringing, harmful, or unauthorised content;
- misrepresent ownership, rights, authority, metadata, pricing, or commercial information;
- scrape, copy, reverse engineer, or misuse Platform data, algorithms, or AI systems;
- interfere with Platform security, authentication, or access controls;
- misuse buyer or seller data outside authorised Platform transactions;
- upload malware, harmful code, or disruptive materials;
- use the Platform for fraudulent, deceptive, illegal, anti-competitive, or unauthorised transactions; or
- solicit or transact with Platform users outside the Platform to avoid subscription fees, deal terms, or Platform obligations.
MediaShippers may remove Content, suspend accounts, restrict access, or terminate use without notice where prohibited conduct is identified.
5. Additional Platform Safeguards
MediaShippers may remove, disable, restrict, or suspend access to any Content, listing, account, report, or material if it receives a rights complaint, takedown request, legal notice, regulatory direction, or reasonably believes that such material is unlawful, infringing, misleading, unauthorised, or in breach of these Terms.
Listing Content, receiving a Title Match recommendation, entering a Deal Room, participating in a VVIP Deal Room, or receiving Buyer interest does not create exclusivity, a binding commitment, a letter of intent, or any obligation to complete a transaction unless a separate written agreement is executed between the relevant parties.
Users must comply with all applicable sanctions, export control, anti-bribery, anti-corruption, tax, trade, media, censorship, and content regulations.
6. Platform DNA Gene and AI Intelligence
Users acknowledge that:
- AI outputs are estimates based on available catalogue information, metadata, market patterns, and Platform data;
- outputs may contain errors, omissions, inaccuracies, outdated assumptions, or incomplete analysis;
- MediaShippers does not guarantee accuracy, completeness, reliability, currency, suitability, commercial value, or outcomes;
- pricing indicators are directional, non-binding, and not formal valuations, appraisals, quotations, offers, or assurances of deal value;
- Users must independently verify all AI outputs before making decisions;
- reliance on AI outputs is at the User's sole risk;
- MediaShippers is not liable for losses, failed negotiations, missed opportunities, reduced revenue, inaccurate pricing decisions, or unsuccessful transactions arising from AI outputs;
- Platform DNA Gene analyses catalogues across proprietary dimensions, including genre alignment, territory suitability, format performance, audience demographics, and competitive positioning;
- MediaShippers may update, refine, replace, or modify AI models, methodologies, weighting, and data sources;
- output quality depends on the accuracy and completeness of User-provided metadata and rights information; and
- AI features are provided "as is" and "as available" without warranties.
FOR BUYERS
Platform DNA Gap Analysis, Buyer Reports, and Title Match recommendations are generated using aggregated catalogue signals and publicly verifiable demand data. Buyers acknowledge that these are intelligence tools, not acquisition mandates. MediaShippers does not warrant that matched titles are available, correctly priced, suitable, or legally cleared for the Buyer's target platform.
FOR SELLERS
Seller DNA Health Scores, popularity indices, and pitch-fit templates are generated using Seller-provided metadata. Sellers must not represent DNA Health Scores or popularity indices as independently verified valuations, audience guarantees, commercial performance guarantees, or deal certainty metrics.
7. Subscription Plans and Pricing
7.1 Billing and Payment
Subscription plans, pricing, title limits, user seats, enterprise offerings, features, and usage limits may be updated, modified, suspended, or discontinued by MediaShippers.
By subscribing to a paid plan, the User authorises MediaShippers to charge the selected payment method for applicable fees and taxes.
Unless otherwise agreed in writing:
- monthly plans are billed monthly in advance;
- annual plans are billed yearly in advance;
- certain plans may require minimum commitments, including a 3-month minimum term;
- fees are non-refundable once a billing period starts, except where required by law; and
- subscriptions may automatically renew unless cancelled before renewal.
FOR SELLERS
Subscription plans are available to Sellers and Enterprise clients. Buyers are not required to purchase subscriptions. Seller subscription tiers may govern title limits, user seats, VVIP Deal Room features, and content operations access. Sellers on annual plans who cancel mid-term retain access until the end of the paid billing cycle. No prorated refunds are provided unless required by law.
7.2 Transactions and Commercial Engagements
AI-assisted pricing indicators, demand estimates, catalogue analytics, popularity scores, and market intelligence are informational only and are not valuations, guaranteed deal values, commercial advice, or binding offers.
All negotiations, licensing arrangements, acquisitions, and transactions occur directly between Users. Unless expressly agreed in writing, MediaShippers acts only as a technology and marketplace facilitation platform and is not a party, agent, broker, representative, or guarantor in User transactions.
FOR BUYERS
Buyers negotiate and transact directly with Sellers. Buyers do not pay commissions or transaction fees to MediaShippers on deals completed through the Platform.
FOR SELLERS
Sellers negotiate and transact directly with Buyers. Sellers do not pay commissions or success fees to MediaShippers on completed deals. Their obligations to MediaShippers are limited to applicable subscription fees unless separately agreed.
7.3 Cancellation, Downgrade, and Termination
Users may request cancellation, downgrade, or modification of subscriptions by contacting sales@mediashippers.com or using the designated account management process.
Unless a separate agreement states otherwise:
- cancellation or downgrade takes effect at the end of the current billing cycle;
- Users remain responsible for all charges accrued during the active subscription period;
- no partial refunds, prorated reimbursements, or credits are given for unused portions of a billing period; and
- downgrading or termination may restrict access to features, analytics, deal rooms, stored materials, AI tools, historical records, or enterprise functions.
7.4 Pricing Changes, Autopay, and Locked Price Protection
a. MediaShippers' Right to Change Prices
MediaShippers reserves the right to increase, decrease, restructure, bundle, discount, or otherwise modify the subscription fees for any Subscription Plan at any time. Pricing changes may be made for reasons including, but not limited to:
- changes in demand, supply, or market conditions;
- upgrades, additions, or modifications to Platform features and services;
- promotional or time-limited discounts;
- operational, infrastructure, or technology cost changes;
- strategic repositioning of plan tiers; and
- currency adjustments for region-specific pricing.
Updated pricing will be displayed on the MediaShippers website at mediashippers.com/pricing and communicated to registered Users by email and/or Platform dashboard notice, with at least 14 days' advance notice before the new price becomes applicable to any User.
b. Autopay Enrolment and Locked Price
When a User enrols in a Subscription Plan and enables Autopay, by saving a payment method and authorising recurring charges, MediaShippers will record the subscription fee in effect at the time of enrolment as that User's Locked Price.
AUTOPAY PRICE LOCK
A User on Autopay will continue to be charged their Locked Price at each automatic renewal, even if MediaShippers increases subscription fees for new subscribers or at-renewal non-Autopay users after the User's enrolment date. The Locked Price protection applies for as long as Autopay remains continuously active on the account.
The Locked Price protection operates as follows:
- Price Increase Scenario - Autopay Active: If MediaShippers increases the price of a plan after a User's enrolment date, the User on Autopay will continue to be charged their original Locked Price at each automatic renewal. The User is protected from the price increase for as long as Autopay remains uninterrupted.
- Price Decrease Scenario - Autopay Active: If MediaShippers decreases the price of a plan after a User's enrolment date, the User on Autopay will continue to be charged their Locked Price, which may be higher than the then-current listed price. The Locked Price protection operates in both directions; it locks the User into their original rate whether prices move up or down. A User on Autopay will not automatically benefit from a price reduction. The User may contact MediaShippers at sales@mediashippers.com to discuss pricing, but no adjustment or refund is owed as a matter of right under these Terms.
- Price Changes - Autopay Not Active: A User who does not enable Autopay, or whose Autopay has lapsed, been cancelled, or been disabled, will be presented with the current listed price for their selected plan at the time of each manual renewal. Such Users are not entitled to Locked Price protection and will pay the prevailing rate at each renewal.
- Locked Price Reset on Plan Change: The Locked Price is tied to a specific Subscription Plan. If the User upgrades, downgrades, cancels and re-subscribes, or changes plans, for any reason, the Locked Price resets to the then-current listed price for the new plan at the time of the change. Continuous Autopay on the same plan is required to maintain Locked Price protection.
- Locked Price Reset on Autopay Lapse: If Autopay is disabled, payment fails and is not recovered within the grace period, or the saved payment method expires and is not updated, Autopay is considered lapsed. On lapse, Locked Price protection ends. If the User re-enables Autopay, the new Locked Price will be the then-current listed price for the plan at the time of re-enrollment.
c. New Subscribers and At-Renewal Pricing
Users subscribing to a plan for the first time, or renewing manually without Autopay active, will be charged the then-current listed price at the point of subscription or renewal. No Locked Price applies until Autopay is enabled.
d. Annual Plan Price Protection
Sellers subscribed to annual billing plans benefit from the following additional protection, regardless of Autopay status:
- No mid-term price increase will apply to an active annual plan.
- Any price change to an annual plan will take effect only at the next annual renewal date.
- At least 14 days' advance notice will be given before a price change applies at annual renewal.
- Annual-plan Sellers with Autopay active retain Locked Price protection at renewal as described above.
e. How to Check Your Locked Price
Users can view their current Locked Price and Autopay status at any time through their account billing settings at mediashippers.com or by contacting sales@mediashippers.com.
f. Free Plan
The Free Plan is provided at no cost. There is no Locked Price applicable to the Free Plan. MediaShippers reserves the right to modify, restrict, or discontinue Free Plan features or access at any time with reasonable advance notice. Introduction of fees for features currently available under the Free Plan will be communicated with at least 30 days' advance notice.
8. Intellectual Property and Content Rights
8.1 Your Content
Users retain ownership and intellectual property rights in their Content, catalogues, metadata, artwork, trailers, promotional materials, Deal Definition inputs, acquisition briefs, and other materials uploaded or made available on the Platform. MediaShippers does not claim ownership of User Content.
By uploading or listing Content, Sellers grant MediaShippers a limited, non-exclusive, worldwide, royalty-free, revocable licence to host, store, process, display, analyse, reproduce, and transmit Content and metadata only for Platform operation, content discovery, buyer-seller matching, AI-assisted analytics, Platform DNA Gene reports, Title Match, deal facilitation, transaction workflows, contract registration, compliance, localisation, dubbing, subtitling, QC, transcoding, and delivery coordination.
FOR BUYERS
Buyers do not upload Content for catalogue listing. Buyers grant MediaShippers a limited licence to store and process Deal Definition inputs and acquisition parameters only to operate Title Match and deliver relevant intelligence outputs.
FOR SELLERS
Sellers grant the limited licence above when uploading Content. This licence does not allow MediaShippers to commercially distribute, sublicense, sell, or exploit Seller Content outside Platform facilitation unless separately authorised in writing.
8.2 Platform Rights
All rights in the MediaShippers Platform belong to or are controlled by Entertainment Technologists Development Corp., MediaShippers, or their licensors. This includes software, source code, interfaces, workflows, databases, dashboards, reports, documentation, templates, branding, trademarks, logos, trade names, methodologies, algorithms, systems, recommendation engines, Platform DNA Gene framework, analytics models, business processes, and related intellectual property.
Users must not copy, reproduce, modify, distribute, adapt, reverse engineer, decompile, disassemble, decode, scrape, extract, resell, sublicense, commercially exploit, or create derivative works from the Platform or its proprietary frameworks without written consent.
8.3 Content Warranties
By uploading, listing, pitching, licensing, or making Content available, Sellers represent and warrant that: they have all rights, licences, permissions, approvals, and authority required; the Content does not infringe third-party rights; all metadata, rights information, territory details, exclusivity status, language rights, pricing information, and catalogue details are accurate, current, complete, and not misleading; they have authority to negotiate and license the rights represented; and the Content complies with applicable laws.
FOR SELLERS
Sellers provide these warranties at catalogue registration and throughout the subscription period. Sellers must promptly update listings if rights availability or material information changes. Sellers indemnify MediaShippers for claims, damages, and costs arising from breach of these warranties, including rights disputes, chain-of-title claims, and metadata inaccuracies.
9. Marketplace Rules and Prohibited Conduct
FOR BUYERS
- Not use Platform DNA reports or Buyer Reports to create commercial intelligence products
- Not misrepresent acquisition requirements
- Not contact Sellers outside deal rooms using Platform-sourced details
- Not share intelligence outputs with third parties outside their organisation without consent
- Not submit false acquisition briefs or impersonate another organisation
FOR SELLERS
- Not submit fabricated or misleading data
- Not represent Content as cleared or available without verification
- Not use Buyer contact information for unrelated outreach
- Not list the same Content under multiple accounts
- Not artificially inflate DNA Health Scores or popularity indicators
MediaShippers may remove Content, suspend accounts, restrict access, or terminate use without notice if prohibited conduct is identified.
10. Deals, Contracts, and Content Delivery
MediaShippers facilitates content discovery, buyer-seller matching, negotiations, deal room communications, contract registration, workflow management, and related content operations. Unless expressly agreed in writing, MediaShippers is not a party to any licensing, acquisition, distribution, co-production, or other transaction between Users. MediaShippers acts only as a facilitation and workflow platform and is not liable for transaction performance, rights disputes, metadata inaccuracies, payment disputes, royalty disagreements, content quality, censorship status, delivery standards, failed transactions, legal disputes, reputational harm, or consequential damages arising from User interactions.
10.1 Content Operations Services
MediaShippers may provide content operations directly or through authorised vendors, contractors, technology partners, or service providers. These may include dubbing, subtitling, localisation, QC, compliance reporting, transcoding, packaging, cloud delivery, and postproduction or operational support. These services are separate commercial engagements and may be governed by service orders, statements of work, or other contracts.
10.2 VVIP Deal Rooms
VVIP Deal Rooms are premium environments for high-value content transactions. Access may depend on eligibility, Subscription Plan, or separate commercial arrangement.
11. Confidentiality
Users may access confidential business, catalogue, pricing, buyer, seller, deal, rights, and transaction information. Users must protect this information and use it only for authorised Platform-related purposes connected to genuine content licensing transactions.
FOR BUYERS
Buyers must treat Platform DNA reports, Buyer Reports, Title Match outputs, Seller pricing information, and deal room communications as confidential. Buyer acquisition briefs and Deal Definition inputs are confidential strategy data and are not shared with Sellers unless the Buyer activates a Title Match introduction.
FOR SELLERS
Sellers must keep Buyer communications, acquisition preferences, contact information, and strategic priorities confidential. Commercially sensitive Seller data, including specific pricing inputs and undisclosed rights windows, is kept confidential and is not shared with Buyers through intelligence outputs.
12. Analytics and Tracking
By using the Platform, Users acknowledge that MediaShippers uses Microsoft Clarity and Google Analytics to collect anonymised behavioural, technical, and regional usage data for Platform improvement, analytics, and user experience purposes. Analytics practices are described in the Privacy Policy and Cookie Policy.
FOR BUYERS
Buyer analytics data is used to improve buyer-facing discovery, Platform DNA report navigation, content search, filters, and Deal Definition tools. Buyer session data is not shared with Sellers.
FOR SELLERS
Seller analytics data is used to improve catalogue management, deal pipeline workflows, subscription onboarding, and seller-facing features. Seller session data is not shared with Buyers.
13. Disclaimers
MediaShippers does not guarantee that the Platform will be uninterrupted, error-free, secure, accurate, reliable, or commercially useful. MediaShippers specifically disclaims warranties regarding AI outputs, Platform DNA Gene outputs, DNA Health Scores, popularity indices, pricing indicators, recommendations, pitch-fit templates, analytics, successful negotiations, licensing deals, revenue generation, forecasts, benchmarks, ROI, profitability, or business value of any plan or service.
FOR BUYERS
MediaShippers does not warrant that Platform DNA reports, Buyer Reports, or Title Match recommendations will identify all relevant content, accurately reflect Buyer strategy, or result in successful acquisitions.
FOR SELLERS
MediaShippers does not warrant that Platform DNA scores, DNA Health Scores, or popularity indices will increase buyer interest, deal conversion, or commercial outcomes.
14. Limitation of Liability
MediaShippers is not liable for claims or losses arising from User transactions, rights disputes, AI outputs, failed negotiations, downtime, delays, data loss, cyber incidents, inaccuracies, conduct of Users or third parties, content operations, localisation, delivery coordination, or vendor services.
To the fullest extent permitted by law, MediaShippers' total aggregate liability will not exceed the subscription fees paid by the claimant during the 12 months before the event giving rise to the claim. If no subscription fees were paid, liability is limited to the minimum amount permitted by law.
Example liability positions:
- failed deal negotiation: no liability, as deals are between Users
- inaccurate AI output: no liability, as outputs are estimates
- Seller metadata inaccuracy: Seller responsibility
- Buyer misuse of data: Buyer responsibility
- Platform downtime: no liability for lost deals or missed opportunities
- subscription fee dispute: liability limited to fees paid in the preceding 12 months
15. Indemnification
Users agree to indemnify, defend, and hold harmless MediaShippers, Entertainment Technologists Development Corp., affiliates, officers, directors, employees, contractors, licensors, service providers, and representatives from claims, liabilities, damages, losses, penalties, costs, and legal fees arising from violation of these Terms, laws, third-party rights, uploaded Content, metadata, rights information, IP infringement allegations, breach of warranties, rights disputes, unlawful use, misuse of confidential information, or User transactions.
FOR BUYERS
Buyers specifically indemnify MediaShippers for claims arising from misuse of Platform DNA reports, Buyer Reports, Title Match outputs, Seller contact information, Seller catalogue data, deal room communications, or breach of confidentiality.
FOR SELLERS
Sellers specifically indemnify MediaShippers for claims arising from listing Content without rights, inaccurate metadata, falsified territory availability, misleading pricing, breach of content warranties, rights disputes, chain-of-title claims, or IP infringement.
16. Termination
MediaShippers may suspend, restrict, disable, or terminate access to the Platform, accounts, subscriptions, features, or services where it reasonably believes that a User violated these Terms, Platform policies, or laws; engaged in fraudulent, unlawful, misleading, harmful, infringing, or unauthorised activity; provided false information; infringed rights; misused the Platform or confidential information; created legal, operational, cybersecurity, reputational, or regulatory risk; failed to pay fees; or where termination is required by law, regulator, or court order.
FOR BUYERS
Upon termination, Buyer access to the Platform, Platform DNA reports, Deal Definition data, and deal room records will cease. Buyers terminated for breach may not re-register without prior written consent.
FOR SELLERS
Upon termination of a Seller subscription, catalogue listings will be removed from buyer-facing discovery. Sellers retain ownership of catalogue data and may request export within 30 days of termination. Sellers terminated for non-payment remain liable for outstanding fees.
Clauses on IP, confidentiality, disclaimers, limitation of liability, indemnity, payment obligations, dispute resolution, governing law, and accrued rights survive termination.
17. Governing Law and Dispute Resolution
These Terms are governed by applicable laws. Any dispute arising from or relating to these Terms is subject to the exclusive jurisdiction of the competent courts in the jurisdiction where Entertainment Technologists Development Corp. is registered.
Users are encouraged to first contact sales@mediashippers.com before initiating formal proceedings. MediaShippers will use reasonable efforts to resolve disputes through good-faith dialogue within 30 days of a dispute being raised.
18. Modifications to Terms
MediaShippers may modify these Terms at any time. Material changes will be communicated by email to registered Users and/or through Platform notice at least 14 days before they take effect. Continued use after the effective date means the User accepts the revised Terms.
FOR BUYERS
The zero-cost Buyer access model may change only with advance notice. If MediaShippers introduces subscription fees for features currently free to Buyers, existing registered Buyers will receive at least 60 days' advance notice before any fee obligation takes effect.
FOR SELLERS
Seller subscription plans and pricing may change as set out in Section 7.1. Annual-plan Sellers are protected from mid-term price increases. Price changes will apply only at the next renewal date, with at least 14 days' advance notice.
19. Miscellaneous
Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, form the entire agreement between the User and MediaShippers regarding Platform use. If these Terms conflict with an Enterprise License Agreement, Order Form, or Media Sathi service agreement, the separate agreement will prevail to the extent of the conflict.
Severability: If any provision is found unenforceable, the remaining provisions remain valid and enforceable.
No Waiver: Failure to enforce any right or provision does not waive that right or provision.
Assignment: Users may not assign rights or obligations under these Terms without prior written consent. MediaShippers may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of business assets.
Relationship of Parties: Nothing in these Terms creates an agency, partnership, joint venture, employment, fiduciary, broker, or representative relationship between MediaShippers and any User. MediaShippers acts only as a technology and marketplace facilitation platform.
Force Majeure: MediaShippers is not liable for failure or delay caused by events beyond its reasonable control, including acts of God, war, pandemic, cyberattack, regulatory action, internet infrastructure failure, or similar events.
