Please read these Terms & Conditions carefully before using the MediaShippers platform. By registering, accessing, or using any part of this platform, you agree to be bound by these Terms.

Platform Description

Media Shippers is a B2B platform connecting global content buyers and sellers for content discovery, rights licensing, buyer-seller matching, deal facilitation, contract registration, content operations, and AI-assisted content intelligence.

The Platform includes:

  • Catalogue uploads and content storefront features;
  • Deal listings, buyer requirements, and negotiation workflows;
  • AI-powered Platform DNA Gene tools that analyse content catalogues across multiple intelligence dimensions;
  • DNA Health Scores, pricing insights, popularity indicators, and pitch-fit templates; and
  • AI-assisted reports and analytics intended for informational and decision-support purposes only.

1. Definitions

"Platform" means the MediaShippers website, application, and all associated features, tools, and services available at mediashippers.com

"Company", "we", "us", "our" means Entertainment Technologists Development Corp., operator of MediaShippers

"User" means any individual or entity accessing or using the Platform

"Seller" means a content owner, producer, studio, aggregator, or rights holder who lists content for licensing on the Platform

"Buyer" means an OTT platform, broadcaster, distributor, FAST channel, or content acquirer who uses the Platform to discover and acquire content rights

"Content" means audiovisual works, films, series, documentaries, music videos, and other media listed on the Platform by Sellers

"Deal" means a content licensing or rights acquisition agreement negotiated and/or registered on the Platform between a Seller and a Buyer

"Platform DNA Gene" means the AI-powered content intelligence feature that analyses catalogue identity across five dimensions and generates DNA Health Scores, popularity indices, and pitch fit templates

"Subscription Plan" means a paid or free-tier service plan selected by a Seller to access Platform features

"Enterprise License" means a white-label or custom deployment of the Platform for large organisations

2. Acceptance and Eligibility

By accessing, browsing, registering on, or using the Media Shippers platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with any policies, guidelines, or supplemental terms referenced herein. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

Media Shippers operates exclusively as a business-to-business (B2B) platform facilitating interactions between content owners, producers, studios, distributors, broadcasters, OTT platforms, FAST channels, content aggregators, buyers, sellers, and other authorised industry participants. Consumer or personal (B2C) use of the Platform is strictly prohibited.

By accessing or using the Platform, you represent, warrant, and undertake that:

  • You are at least eighteen (18) years of age and possess the legal capacity and authority to enter into binding agreements under applicable law;
  • You are accessing or using the Platform on behalf of a duly incorporated or legally recognised business entity, organisation, or enterprise, and possess the necessary authority to bind such entity to these Terms;
  • You are a legitimate business user, including but not limited to a producer, studio, broadcaster, OTT platform, FAST channel, distributor, content aggregator, rights holder, buyer, seller, service provider, or authorised representative of such entity;
  • All information, documentation, and details provided during account registration, onboarding, verification, or use of the Platform are accurate, complete, current, and not misleading;
  • You will promptly update any information that becomes inaccurate or outdated;
  • You are solely responsible for maintaining the confidentiality and security of your account credentials, login details, and access permissions; and
  • You will immediately notify Media Shippers of any unauthorised access, suspected security breach, misuse of your account, or other suspicious activity relating to your use of the Platform.

Media Shippers reserves the right to suspend, restrict, or terminate access to the Platform where it reasonably believes that a user does not satisfy the eligibility requirements set out in these Terms or has provided false, misleading, or incomplete information.

3. Account Registration and Security

To access certain features, services, or functionalities of the Platform, users may be required to create and maintain a registered account. By registering for and using an account on Media Shippers, you agree to:

  • Provide accurate, complete, current, and authorised information during registration and onboarding;
  • Maintain and promptly update your account information to ensure its continued accuracy;
  • Keep your login credentials, passwords, authentication details, and account access information secure and confidential;
  • Restrict access to your account solely to authorised personnel within your organisation;
  • Accept full responsibility for all activities, actions, transactions, uploads, communications, and interactions conducted through your account, whether authorised by you or not; and
  • Immediately notify Media Shippers upon becoming aware of any unauthorised access, suspected account compromise, misuse, security breach, or fraudulent activity associated with your account.

Users are solely responsible for maintaining the confidentiality and security of their account credentials and for ensuring that all information submitted to Media Shippers remains accurate, lawful, current, and properly authorised.

Media Shippers reserves the right, at its sole discretion, to suspend, restrict, investigate, or terminate any account where it reasonably believes that fraudulent, misleading, inaccurate, unlawful, unauthorised, or suspicious activity has occurred, or where a user has violated these Terms, applicable laws, or platform policies.

4. Platform Services

4.1 For Sellers

Subject to the applicable subscription plan and platform permissions, Media Shippers may provide access to features including content storefronts, catalogue discovery and matching tools, AI-assisted analytics and pricing insights, secure deal rooms, contract registration, transaction tracking, content operations services (including dubbing, subtitling, QC, localisation, and transcoding), and Platform DNA Gene analytics.

Users agree not to use the Platform for any unlawful, fraudulent, misleading, infringing, anti-competitive, or unauthorised purpose and must maintain the confidentiality of all non-public negotiations, commercial discussions, pricing information, and deal-related materials exchanged through the Platform.

Sellers, licensors, distributors, aggregators, and content providers represent and warrant that they possess all necessary rights, permissions, and authority to upload, market, license, or distribute content through the Platform, and that all content, metadata, rights information, territories, pricing details, and related materials provided are accurate, lawful, current, and non-infringing. Users remain solely responsible for the legality, validity, and accuracy of all content and information uploaded or shared through the Platform.

4.2 For Buyers

Buyer access to the Platform may be provided free of charge or pursuant to a subscription, onboarding arrangement, enterprise agreement, or customised commercial engagement. Subject to applicable permissions and platform availability, buyers may access features including content discovery and shortlisting tools, acquisition briefs and deal requests, trailers and metadata review, secure deal rooms, AI-assisted content matching and pricing insights, contract registration, pipeline tracking, and Platform DNA Gene analytics.

Buyers agree not to use the Platform for any unlawful, fraudulent, infringing, anti-competitive, or unauthorised purpose and must maintain the confidentiality of all non-public negotiations, pricing discussions, deal structures, communications, and transaction-related information exchanged through the Platform.

Buyers are solely responsible for independently evaluating and conducting due diligence regarding content suitability, metadata accuracy, rights ownership, licensing availability, territorial and language restrictions, exclusivity terms, pricing, technical specifications, delivery requirements, and all legal, commercial, operational, and regulatory aspects of a proposed transaction.

Media Shippers does not guarantee the legal validity, marketability, commercial performance, licensing availability, pricing accuracy, buyer interest, or suitability of any content, rights package, AI-generated insight, or seller-provided information available on the Platform.

4.3 Enterprise Services

Enterprise clients may access a white-label deployment of the MediaShippers platform with full branding, isolated infrastructure, MAM/DAM integration, and dedicated support. Enterprise terms are governed by a separate Enterprise License Agreement executed between the Company and the client.

4.4 Prohibited Use

Users must not:

  • upload unlawful, infringing or unauthorised content;
  • misrepresent ownership, rights or authority;
  • scrape, copy or reverse engineer the platform;
  • interfere with platform security;
  • misuse buyer/seller data;
  • upload malware or harmful code;
  • use the platform for fraudulent or illegal transactions.

5. Platform DNA Gene - AI Intelligence Feature

AI DISCLAIMER: The Platform DNA Gene feature and other AI-enabled tools on Media Shippers are powered by artificial intelligence, machine learning models, and data-driven analytical systems. These features may generate outputs such as DNA Health Scores, popularity indices, pricing indicators, pitch-fit templates, offer evaluation reports, catalogue recommendations, and regional demand insights.

All such AI-generated outputs are provided strictly for informational, analytical, and decision-support purposes only. They do not constitute professional advice, legal advice, financial advice, commercial guarantees, valuation reports, binding offers, or representations of actual market value, buyer interest, content performance, revenue potential, ranking, licensing success, or deal closure.

Users acknowledge and agree that:

  1. AI Outputs Are Estimates - The DNA Health Score, popularity index, pricing indicators, catalogue insights, and recommendation reports are AI-estimated outputs based on available catalogue information, metadata, market patterns, and platform data. They are probabilistic in nature and may contain errors, omissions, inaccuracies, or outdated assumptions.
  2. No Guarantee of Accuracy or Outcome - Media Shippers does not guarantee that any AI-generated output will be accurate, complete, reliable, current, suitable for a particular purpose, or reflective of actual market conditions. Content demand, buyer preferences, platform priorities, audience behaviour, pricing benchmarks, and regional market trends may change rapidly and unpredictably.
  3. Pricing Indicators Are Directional Only - Any regional pricing indicators provided for buyers or sellers are indicative, non-binding, and directional in nature. They do not constitute a formal valuation, appraisal, quotation, offer, minimum guarantee, or assurance of achievable deal value. Actual commercial terms and pricing are subject to independent negotiation between the relevant parties.
  4. Independent Verification Required - Users must not rely solely on AI-generated scores, reports, recommendations, pricing indicators, or pitch-fit templates. Users are solely responsible for conducting independent legal, financial, commercial, technical, rights and market due diligence before making any listing, licensing, acquisition, pricing, negotiation, or transaction decision.
  5. User Responsibility and Assumption of Risk - Any decision made in reliance on Platform DNA Gene outputs or other AI-generated insights is made at the user's sole discretion and commercial risk. Media Shippers shall not be liable for any loss, damage, missed opportunity, reduced revenue, failed negotiation, unsuccessful transaction, inaccurate pricing decision, or other commercial consequence arising from reliance on AI-generated outputs.
  6. Five Proprietary Intelligence Dimensions - Platform DNA Gene may analyse catalogues across five proprietary intelligence dimensions, including genre alignment, territory suitability, format performance, audience demographics, and competitive positioning. These dimensions, their methodology, data sources, and weighting may be updated, modified, refined, or replaced from time to time as the AI models and platform systems evolve.
  7. Dependence on Data Quality - The quality, relevance, and reliability of AI-generated outputs depend significantly on the accuracy, completeness, and currency of the metadata, rights information, catalogue details, pricing history, and other data provided by users. Incomplete, inaccurate, misleading, or outdated information may materially affect the quality of the AI-generated results.
  8. Provided "As Is" - Platform DNA Gene and all AI-assisted features are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

6. Subscription Plans and Pricing

Billing and Payment

Subscription plans, pricing, title limits, user seats, enterprise offerings, and platform features may be updated, modified, suspended, or discontinued by Media Shippers from time to time. Applicable taxes, payment terms, renewals, cancellations, refunds, and commercial conditions may be specified during checkout, in an order form, invoice, or separate commercial agreement.

By subscribing to a paid plan, you authorise Media Shippers to charge your designated payment method for all applicable fees and taxes.

Unless otherwise agreed in writing:

  • Monthly plans are billed monthly in advance;
  • Annual plans are billed yearly in advance;
  • Certain plans may require minimum commitment periods, including a three (3) month minimum term;
  • Subscription and related fees are non-refundable once a billing period has commenced, except where required by law; and
  • Subscriptions may automatically renew unless cancelled before the renewal date.

Media Shippers reserves the right to revise pricing, platform features, service inclusions, and usage limits, with such changes applying prospectively upon renewal unless otherwise communicated.

Transactions & Commercial Engagements

The Platform may display AI-assisted pricing indicators, demand estimates, catalogue analytics, popularity scores, and market intelligence tools. Such outputs are provided for informational purposes only and do not constitute valuations, guaranteed deal values, commercial advice, or binding offers.

All negotiations, licensing arrangements, acquisitions, and transactions are conducted directly between users. Unless expressly agreed otherwise in writing, Media Shippers acts solely as a technology and marketplace facilitation platform and is not a party to any transaction between users.

Media Shippers shall not be liable for transaction outcomes, payment disputes, rights ownership issues, content quality, contractual breaches, or any loss, damage, delay, or claim arising from transactions conducted through the Platform.

Users are solely responsible for independently verifying all legal, commercial, financial, operational, and rights-related aspects of any proposed transaction.

Cancellation, Downgrade & Termination

Users may request cancellation, downgrade, or modification of their subscription plan by providing written notice to Media Shippers or through any designated account management process made available on the Platform.

Unless otherwise specified in a separate commercial agreement:

  • Cancellation or downgrade requests shall take effect at the end of the then-current billing cycle;
  • Users shall remain responsible for all charges accrued during the active subscription period;
  • No partial refunds, prorated reimbursements, or credits shall be provided for unused portions of a billing period, unused platform access, or reduced usage; and
  • Downgrading or terminating a subscription may result in restricted access to certain features, analytics, deal rooms, stored materials, AI tools, historical transaction records, or enterprise functionalities.

Media Shippers reserves the right to suspend, restrict, or terminate subscriptions or platform access in cases involving non-payment, suspected fraud, breach of these Terms, unlawful activity, security concerns, misuse of the Platform, or violation of applicable laws or platform policies.

7. Intellectual Property and Content Rights

7.1 Your Content

Users retain all ownership and intellectual property rights in the content, catalogues, metadata, artwork, trailers, promotional materials, and other materials uploaded or made available on the Platform ("Content"). Media Shippers does not claim ownership of user Content.

By uploading or listing Content on the Platform, users grant Media Shippers, its affiliates, and operational partners a limited, non-exclusive, worldwide, royalty-free, revocable licence solely to host, store, process, display, analyse, reproduce, and transmit such Content and related metadata for platform operations, content discovery, buyer-seller matching, AI-assisted analytics, Platform DNA Gene reports, deal facilitation, transaction workflows, contract registration, compliance, and authorised operational services such as localisation, dubbing, subtitling, QC, transcoding, and delivery coordination.

Media Shippers may also use catalogue and metadata information in anonymised, aggregated, or de-identified form to improve platform intelligence, analytics, recommendation systems, and machine learning models.

This licence is strictly limited to the operation, administration, improvement, and facilitation of the Platform and related services. Media Shippers shall not commercially distribute, sub-license, sell, or otherwise exploit user Content outside the scope permitted under these Terms or separately authorised by the user in writing.

Users acknowledge and agree that certain platform features may process uploaded metadata, catalogue information, and related materials using artificial intelligence or automated systems to generate insights, recommendations, pricing indicators, matching tools, and analytical reports.

7.2 Platform Rights

All rights, title, and interest in and to the Media Shippers Platform, including all software, source code, interface designs, workflows, databases, dashboards, reports, documentation, templates, branding, trademarks, logos, trade names, proprietary methodologies, algorithms, artificial intelligence systems, recommendation engines, Platform DNA Gene framework, analytics models, business processes, and related intellectual property are owned by, licensed to, or controlled by Entertainment Technologists Development Corp., Media Shippers, or their respective licensors.

Except for the limited access rights expressly granted under these Terms, no rights, licences, or ownership interests are transferred to users.

Users shall not, directly or indirectly:

  • Copy, reproduce, modify, distribute, adapt, publish, display, or create derivative works from any portion of the Platform;
  • Reverse engineer, decompile, disassemble, decode, scrape, extract, or otherwise attempt to access the underlying source code, algorithms, models, databases, or systems of the Platform;
  • Use automated scripts, bots, crawlers, scraping tools, or similar technologies to access or extract Platform data;
  • Remove, alter, or obscure any copyright, trademark, confidentiality, or proprietary notices; or
  • Commercially exploit, resell, sublicense, or replicate any Platform feature, report, workflow, algorithm, AI-assisted tool, dashboard, or proprietary framework without prior written permission from Media Shippers.

7.3 Content Warranties

By uploading, listing, pitching, licensing, or otherwise making Content available through the Platform, you represent and warrant that you possess all necessary rights, licences, permissions, approvals, and authority required to use, market, license, and distribute such Content through the Platform.

You further represent that:

  • The Content does not infringe any intellectual property, contractual, privacy, publicity, moral, or other legal rights of any third party;
  • All metadata, rights information, territory details, exclusivity status, language rights, pricing information, and related catalogue details provided by you are accurate, current, complete, and not misleading;
  • You have the authority to negotiate and license the rights represented on the Platform; and
  • The Content complies with all applicable laws, regulations, sanctions, censorship requirements, and industry standards in the territories where it is offered.

You agree to defend, indemnify, and hold harmless Media Shippers, Entertainment Technologists Development Corp., their affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, damages, liabilities, losses, penalties, costs, or expenses (including reasonable legal fees) arising from:

  • Any breach of these representations, warranties, or obligations;
  • Any dispute relating to rights ownership, chain of title, licensing authority, or intellectual property infringement concerning your Content; or
  • Your use of the Platform, uploaded materials, transactions, or interactions with third parties.

8. Marketplace Rules and Prohibited Conduct

Users must not:

  • List Content for which they do not hold the requisite rights
  • Misrepresent the nature, quality, rights availability, or commercial performance of Content
  • Engage in fraudulent, deceptive, or misleading deal practices
  • Use the Platform to circumvent or bypass deal fees, subscription requirements, or platform terms
  • Solicit or transact with other platform users outside the Platform to avoid fees or obligations
  • Upload harmful, illegal, or rights-infringing content
  • Attempt to scrape, harvest, or reverse-engineer platform data or algorithms
  • Engage in any activity that disrupts or impairs platform functionality

MediaShippers reserves the right to remove Content, suspend accounts, and/or terminate access without notice where prohibited conduct is identified.

9. Deals, Contracts, and Content Delivery

Media Shippers operates as a technology-enabled B2B platform facilitating content discovery, buyer-seller matching, negotiations, deal room communications, contract registration, workflow management, and related content operations services within the media and entertainment industry.

Unless expressly agreed otherwise in writing, Media Shippers is not a party to any licensing agreement, acquisition agreement, distribution agreement, co-production agreement, or other transaction entered into between users of the Platform. All negotiations, pricing discussions, rights arrangements, and commercial commitments are conducted directly between the relevant parties.

Media Shippers acts solely as a facilitation and workflow platform and shall not be liable for:

  • The performance, non-performance, delay, cancellation, or breach of transactions between users;
  • Rights ownership disputes, chain-of-title claims, metadata inaccuracies, or licensing authority issues;
  • Payment disputes, royalty disagreements, chargebacks, or financial obligations between contracting parties;
  • Content quality, censorship status, technical specifications, localisation quality, formatting, or delivery standards;
  • Delivery delays, technical failures, or fulfilment obligations belonging to the contracting parties; or
  • Any commercial loss, failed transaction, legal dispute, reputational harm, or consequential damages arising from user interactions or agreements.

Users are solely responsible for conducting independent legal, commercial, financial, technical, operational, and rights-related due diligence before entering into any transaction or relying on information available through the Platform.

9.1 Content Operations Services

Certain operational services, including but not limited to dubbing, subtitling, localisation, quality control (QC), compliance reporting, transcoding, packaging, cloud delivery, and related post-production or operational support services, may be provided by Media Shippers directly or through authorised vendors, contractors, technology partners, or service providers.

Such content operations services constitute separate commercial service engagements and may be governed by independent service orders, statements of work, project agreements, work orders, delivery schedules, or other contractual documentation executed between the relevant parties.

Unless expressly stated otherwise in a separate written agreement, Media Shippers does not guarantee uninterrupted availability, turnaround timelines, technical compatibility, broadcaster acceptance, censorship approval, platform approval, or commercial outcome relating to content operations services.

10. Confidentiality

Users may access confidential business, catalogue, pricing, buyer, seller, deal and rights information. Users must protect such information and use it only for authorised platform-related purposes.

11. Analytics and Tracking

By using the Platform and website, you acknowledge that MediaShippers uses Microsoft Clarity and Google Analytics to collect anonymised behavioural and regional usage data for platform improvement purposes, as described in our Privacy Policy. You consent to this data collection by continuing to use the Platform.

12. Disclaimers

IMPORTANT: DISCLAIMER OF WARRANTIES: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MEDIASHIPPERS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS OBTAINED THROUGH USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE.

To the maximum extent permitted by applicable law, Media Shippers and its affiliates, licensors, technology providers, and service partners disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, uninterrupted operation, security, availability, compatibility, or commercial outcomes arising from use of the Platform.

Media Shippers does not guarantee that the Platform will operate without interruption, errors, downtime, security vulnerabilities, bugs, or technical failures, nor does it guarantee the accuracy, completeness, reliability, or commercial usefulness of any analytics, reports, AI-generated outputs, pricing indicators, popularity scores, or recommendation tools available through the Platform.

Without limitation, Media Shippers specifically disclaims any warranty or representation regarding:

  • Platform DNA Gene outputs, DNA Health Scores, popularity indices, pricing indicators, AI-assisted recommendations, pitch-fit templates, and related analytics;
  • The likelihood of successful negotiations, acquisitions, licensing deals, revenue generation, or commercial opportunities arising from content listed on the Platform;
  • Any estimates, forecasts, predictions, benchmarks, or analytical insights generated through AI-assisted systems; or
  • The financial performance, profitability, ROI, or business value of any subscription plan, platform feature, or service engagement.

All platform software, workflows, dashboards, reports, databases, branding, algorithms, AI-assisted systems, Platform DNA Gene frameworks, templates, and related Media Shippers materials are proprietary intellectual property owned by Media Shippers, Entertainment Technologists Development Corp., or their licensors. Users may not copy, reproduce, modify, reverse engineer, distribute, commercially exploit, or create derivative works from any portion of the Platform without prior written permission.

13. Limitation of Liability

IMPORTANT: LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDIASHIPPERS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation of liability includes, without limitation, any loss of revenue, profits, royalties, business opportunities, commercial relationships, contracts, goodwill, reputation, data, metadata, content value, audience reach, market positioning, anticipated savings, operational efficiency, or any other indirect, intangible, consequential, or economic loss.

Without limiting the foregoing, Media Shippers shall not be liable for any claims, losses, damages, or liabilities arising from:

  • Transactions, negotiations, or agreements between users;
  • Rights disputes, chain-of-title issues, or third-party infringement claims;
  • AI-generated outputs, pricing indicators, popularity scores, recommendation systems, Platform DNA Gene analytics, or automated decision-support tools;
  • Failed negotiations, unsuccessful transactions, or unrealised commercial opportunities;
  • Platform downtime, interruptions, delays, data loss, technical failures, cyber incidents, or security breaches;
  • Errors, inaccuracies, omissions, or outdated information on the Platform;
  • Conduct, representations, or actions of users or third parties; or
  • Content operations services, localisation workflows, delivery coordination, or third-party vendor services.

To the fullest extent permitted by law, Media Shippers' total aggregate liability arising out of or relating to the Platform, these Terms, or any services provided shall not exceed the total subscription fees paid by the claimant to Media Shippers during the twelve (12) months preceding the event giving rise to the claim. If no subscription fees were paid during such period, liability shall be limited to the minimum amount permitted under applicable law.

Certain jurisdictions may not permit the exclusion or limitation of certain liabilities. In such cases, these limitations shall apply only to the maximum extent permitted under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Media Shippers, Entertainment Technologists Development Corp., its affiliates, officers, directors, employees, contractors, licensors, service providers, and representatives from and against any claims, liabilities, damages, losses, penalties, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Platform in violation of these Terms, applicable laws, or third-party rights;
  • Any content, metadata, rights information, or materials uploaded, submitted, or shared by you through the Platform;
  • Any allegation that your Content infringes intellectual property, contractual, privacy, publicity, or other third-party rights;
  • Any breach of your representations, warranties, or obligations under these Terms;
  • Any dispute relating to rights ownership, chain of title, licensing authority, royalties, territorial rights, or content exploitation connected with your Content or transactions;
  • Your unlawful, fraudulent, misleading, negligent, anti-competitive, or unauthorised use of the Platform;
  • Any misuse or unauthorised disclosure of confidential or commercially sensitive information obtained through the Platform; or
  • Any dispute, claim, or proceeding arising from transactions, negotiations, or commercial dealings conducted through the Platform.

Media Shippers reserves the right to assume exclusive defence and control of any matter subject to indemnification, and you agree to cooperate fully in the defence or settlement of such matter. You may not settle any claim affecting Media Shippers without its prior written consent.

15. Termination

Media Shippers reserves the right, at its sole discretion and without liability, to suspend, restrict, disable, or terminate access to the Platform, accounts, subscriptions, features, or services where it reasonably believes that:

  • You have violated these Terms, platform policies, or applicable laws;
  • Fraudulent, unlawful, misleading, harmful, infringing, or unauthorised activity has been detected;
  • You have provided false, inaccurate, incomplete, or misleading information;
  • You have infringed intellectual property, confidentiality, privacy, or other third-party rights;
  • You have misused the Platform, AI tools, analytics systems, deal rooms, or confidential information;
  • Your conduct creates legal, operational, commercial, cybersecurity, reputational, or regulatory risk;
  • You have failed to pay applicable fees or charges; or
  • Suspension or termination is required by law, regulatory authority, court order, or law enforcement request.

Media Shippers may also suspend or restrict access during investigations, security reviews, maintenance, compliance assessments, payment disputes, or suspected breaches of these Terms.

Upon suspension or termination:

  • Your right to access or use the Platform shall immediately cease;
  • Media Shippers may disable or remove access to accounts, uploaded materials, communications, analytics, transaction records, or stored data, subject to applicable law and retention policies;
  • Outstanding payment, indemnity, confidentiality, and accrued obligations shall survive termination; and
  • Media Shippers shall not be liable for any loss of data, negotiations, transactions, revenue, business opportunities, or platform access resulting from such suspension or termination.

Provisions relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, payment obligations, dispute resolution, and governing law shall survive termination of these Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction in which Entertainment Technologists Development Corp. is registered.

Where applicable, we encourage users to first seek resolution through our support channel at support@mediashippers.com before initiating formal proceedings.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by email to registered users and/or via a notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

18. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and MediaShippers regarding your use of the Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.

No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
